These Terms & Conditions ("Terms") govern your use of chopfinance.ai, the Chop platform and services provided by Deukaa Life Private Limited under the Chop Finance brand. By using our website or services, you agree to these Terms.
01About us
Chop Finance is a brand of Deukaa Life Private Limited, a company incorporated in India with its registered office at Flat No. 22, B Block, Amar Enclave, near Nandanpur Path, Beltola, Guwahati, Assam, India.
02Eligibility
You must be at least 18 years old and able to enter into a binding contract. If you use our services for a business, you confirm that you are authorised to accept these Terms on its behalf.
03Our services
We provide accounting, compliance, MIS reporting, collections and related finance services, delivered by our team on our platform or as software for your own team. The exact scope, fees and timelines of each engagement are set out in an engagement letter or order form. If that document conflicts with these Terms, the engagement letter or order form applies.
04Your account
You must give accurate information when you create an account and keep it up to date. You are responsible for keeping your login credentials secure and for all activity under your account. Tell us immediately at legal@chopfinance.ai if you suspect unauthorised access.
05Your responsibilities
You agree to provide complete, accurate and timely information and documents. Our work relies on what you provide. You remain responsible for your business decisions and for reviewing and approving filings, returns and reports before they are submitted.
- Give us accurate contact details, including a phone number and email address that belong to you or that you are authorised to use, and keep them up to date.
- Do not misuse our WhatsApp channel. This includes sending spam, abusive, threatening, misleading or unlawful content, impersonating others, or sharing content you have no right to share.
06Communication
By sharing your phone number or email address with us, including through our website, a lead form or a message, you agree to receive transactional messages (such as replies to enquiries, onboarding, document requests, invoices, payment reminders and service updates) and promotional messages (such as product news and offers) from Chop Finance via WhatsApp, SMS, calls and email.
07Opting out and complaints
You can opt out of messages at any time by replying STOP to any WhatsApp message, or by writing to info@chopfinance.ai with the subject "Unsubscribe". We may still send messages strictly needed to deliver a service you have engaged us for, unless you ask us to stop those too. To raise a complaint, write to our Grievance Officer at grievance@chopfinance.ai. Our Grievance Redressal page explains how complaints are handled and the timelines that apply.
08Fees and payment
Fees are set out in your engagement letter or order form and are exclusive of GST and other applicable taxes. Invoices are payable within the period stated on them. We may suspend services if payments are overdue.
09Refunds and cancellation
Refunds and cancellations are governed by our Refund & Cancellation Policy.
10Intellectual property
The Chop platform, website, software, content and brand belong to us or our licensors. Your data remains yours. You grant us a limited licence to use your data only to provide and improve the services you have engaged us for, in line with our Privacy Policy.
11Third-party services
Our services may connect to third-party products such as Tally, Zoho, Shopify, Amazon, Flipkart, Blinkit, Google and WhatsApp. Your use of those products is governed by their own terms. We are not responsible for their availability or conduct.
12Acceptable use
You must use our website and services in line with our Acceptable Use Policy.
13Confidentiality
Each party will keep the other's confidential information private and use it only for the purposes of the engagement, except where disclosure is required by law.
14Disclaimers
Except as expressly stated in these Terms or your engagement letter, our website and services are provided on an "as is" and "as available" basis, to the extent permitted by law. Please also read our Disclaimer.
15Limitation of liability
To the extent permitted by law, we are not liable for any indirect, incidental, special or consequential loss, or for loss of profits, revenue or data. Our total liability for any claim relating to the services is limited to the fees you paid us in the 12 months before the claim arose. WhatsApp is a third-party platform operated by Meta. We are not liable for outages, delays, delivery failures, data handling or other issues caused by WhatsApp or Meta, or for misuse of the WhatsApp platform by third parties, including unauthorised access to your device or WhatsApp account.
16Indemnity
You agree to indemnify us against claims, losses and costs arising from your breach of these Terms, your misuse of the services, or inaccurate information you provide.
17Suspension and termination
You may stop using our services at any time, subject to your engagement letter. We may suspend or end your access if you breach these Terms, fail to pay, or if required by law. Sections that by their nature should survive termination will continue to apply.
18Governing law and jurisdiction
These Terms are governed by the laws of India. The courts at Guwahati, Assam have exclusive jurisdiction over any dispute arising from them.
19Changes to these Terms
We may update these Terms from time to time. The updated version will be posted on this page with a new "Last updated" date. If changes are significant, we will also tell you by email, by WhatsApp or through a notice on our website before they take effect. Continued use after an update means you accept the revised Terms.
